Terms and Conditions

Welcome to insy8.ai and insy8 AI. These Terms and Conditions (“Terms”) govern your access to and use of the insy8.ai website, platform, applications, APIs, and related services (collectively, the “Services”) provided by Bizintellis Inc. (“Bizintellis,” “insy8.ai,” “insy8 AI,” “we,” “our,” or “us”).
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Eligibility
The Services are intended for business users and enterprise clients. You must be at least 18 years old and legally capable of entering into a binding agreement to use the Services. If you use the Services on behalf of a company or other organization, you represent and warrant that you have authority to bind that entity to these Terms.
2. Changes to the Services
We may modify, update, enhance, suspend, or discontinue all or part of the Services at any time. We may add, remove, or change features, functionality, or technical requirements without liability to you.
3. Accounts
To access certain features, you may be required to create an account. You agree to provide accurate, current, and complete information and to keep it updated.
You are responsible for:
maintaining the confidentiality of your account credentials; all activity under your account; and notifying us promptly at support@bizintellis.com if you suspect unauthorized access or use.
We may suspend or terminate accounts that violate these Terms or create risk to the Services, our users, or third parties.
4. Permitted Use
You may use the Services only in compliance with these Terms and applicable law.
You must not:
use the Services for unlawful, fraudulent, deceptive, or harmful purposes; upload, submit, or process content you do not have the right to use; interfere with, disrupt, or compromise the security, integrity, or performance of the Services; attempt to gain unauthorized access to accounts, systems, or networks; reverse engineer, decompile, scrape, copy, or extract source code, models, prompts, datasets, or underlying components except where expressly allowed by law; use the Services to develop, benchmark, or improve a competing service without our prior written consent; transmit malware, viruses, or harmful code; infringe the intellectual property, privacy, confidentiality, or other rights of any person or entity; or use the Services to generate, store, or distribute illegal, abusive, defamatory, discriminatory, or otherwise prohibited content.
5. Customer Content
“Customer Content” means any data, prompts, files, text, documents, images, audio, records, feedback, or other material that you upload, submit, store, transmit, or otherwise make available through the Services.
You retain ownership of your Customer Content.
You grant Bizintellis a limited, non-exclusive, worldwide license to host, store, reproduce, process, transmit, and display Customer Content solely as necessary to:
provide, operate, maintain, and secure the Services; respond to support and service requests; prevent abuse and investigate incidents; comply with legal obligations; and enforce these Terms.
You represent and warrant that you have all rights, permissions, notices, and legal bases necessary to provide Customer Content and to use the Services in connection with it.
6. AI Features and Output
The Services may include artificial intelligence or machine learning features that generate responses, summaries, classifications, recommendations, or other results (“Output”).
You acknowledge and agree that:
Output may be inaccurate, incomplete, or unsuitable for your intended use; Output may not be unique; you are responsible for reviewing and validating Output before relying on or using it; and the Services are not a substitute for legal, medical, financial, compliance, or other professional advice.
You are solely responsible for your use of any Output generated from your Customer Content.
7. Data Use and Model Training
We may use service metadata, technical logs, usage information, and operational telemetry to provide, secure, troubleshoot, and improve the Services.
We do not use Customer Content, including customer prompts, files, or submitted data, to train our general-purpose AI models.
8. Paid Services, Billing, and Subscriptions
Certain Services may be offered on a paid basis. If you purchase paid Services, you agree to pay all applicable fees, taxes, and charges described in the applicable order form, invoice, subscription page, statement of work, or checkout flow.
Unless otherwise stated in writing:
fees are due according to the billing terms presented at purchase or in your commercial agreement; paid subscriptions or recurring services may renew as specified in the applicable order form, invoice, or subscription terms; fees are non-refundable except where required by law or expressly stated by us in writing; and we may suspend or limit access to paid Services for overdue amounts.
9. Intellectual Property
The Services, including all software, code, models, workflows, user interfaces, branding, designs, text, graphics, and content provided by us, are owned by or licensed to Bizintellis Inc. and are protected by intellectual property laws.
Except for the limited right to use the Services under these Terms, no ownership rights are transferred to you.
10. Feedback
If you provide feedback, suggestions, enhancement ideas, or recommendations, you grant us a worldwide, perpetual, irrevocable, royalty-free license to use and incorporate that feedback without restriction or compensation.
11. Third-Party Services
The Services may integrate with or rely on third-party providers, including cloud, infrastructure, AI, and hosting vendors. Your use of third-party services may also be subject to those providers’ own terms and policies. We are not responsible for third-party services except as required by applicable law.
12. Confidentiality
If you receive non-public information from us relating to the Services, pricing, security, roadmap, or technology, you agree to use it only for authorized purposes and not disclose it to third parties except as required by law.
13. Privacy
Your use of the Services is also governed by our Privacy Policy below, which explains how we collect, use, disclose, and protect personal information.
14. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” TO THE MAXIMUM EXTENT PERMITTED BY LAW. BIZINTELLIS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, OR QUIET ENJOYMENT.
WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY OUTPUT WILL BE CORRECT, COMPLETE, OR SUITABLE FOR YOUR PURPOSES.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIZINTELLIS INC. AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNT PAID BY YOU TO BIZINTELLIS INC. FOR THE SERVICES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law.
16. Indemnity
You agree to defend, indemnify, and hold harmless Bizintellis Inc. and its affiliates, officers, directors, employees, contractors, licensors, and suppliers from and against any claims, liabilities, damages, losses, judgments, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:
your use of the Services; your Customer Content; your violation of these Terms; or your violation of applicable law or third-party rights.
17. Suspension and Termination
We may suspend or terminate your access to the Services immediately if:
you breach these Terms; we are required to do so by law; your use creates risk, harm, or liability for us, the Services, or others; or payment for paid Services is overdue.
You may stop using the Services at any time. Upon termination, your right to use the Services ends immediately.
Sections that by their nature should survive termination will survive, including those relating to fees, intellectual property, feedback, disclaimers, limitation of liability, indemnity, dispute resolution, and governing law.
18. Governing Law and Venue
These Terms are governed by the laws of the State of Texas, without regard to conflict of law rules.
Any dispute arising out of or relating to these Terms or the Services shall be brought exclusively in the state courts located in Denton County, Texas, or the federal courts serving Denton County, Texas, and each party consents to the personal jurisdiction and venue of those courts.
19. Export, Sanctions, and Compliance
You agree not to use, export, re-export, or transfer the Services in violation of applicable U.S. export control, sanctions, or trade laws. You represent that you are not located in, organized in, or ordinarily resident in any jurisdiction subject to comprehensive U.S. sanctions, and that you are not a prohibited or restricted party under applicable law.
20. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will post the updated version and revise the “Last updated” date. Your continued use of the Services after the updated Terms become effective constitutes your acceptance of the revised Terms.
21. General
These Terms constitute the entire agreement between you and Bizintellis Inc. regarding the Services, unless superseded by a separate written agreement.
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
Our failure to enforce any provision is not a waiver of that provision.
You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets.
